General Sales and Credit Policies

1. SALES TERMS

• Prices F.O.B. Monterrey, N.L., Mexico, net plus applicable taxes.
• Delivery times according to quotation and/or consumer contract, in each case.
• For all orders a signed consumer contract and/or customer purchase order is required.
• In case of returns, a N.A.R. should be processed (Number of Authorization for Return) and it is accepted only for exchange.
• Discounts established in Etisign price lists according to purchase scales.

 

1. PAYMENT TERMS

 

50% of advance payment when ordering and the rest upon delivery of merchandise.

• All imported products that are sold upon credit, are billed in US dollars and can be paid at the exchange rate of the date of the current sale.
• Credit or financing will be given exclusively in previously authorized operations and subject to the signing of an “Agreement of Acceptance of Conditions”. For international customers we require an irrevocable letter of credit in favor of Etisign S.A de C.V.
• In case of overdue balances the account will be placed in temporary suspension of service being automatically canceled any credit or financing granted and default interests will be charged at the rate obtained by multiplying the TIIE (Interbank Interest Rate Balance) by 1.5.
• There will be an extra 20% charge on returned checks according to Article 193 of the Law of Negotiable Instrument and Credit Transactions.

 

III. DISCOUNT ON EARLY PAYMENTS

• Applicable exclusively on credit operations and according to the current policy.

• There could be a variation of more less 5% in the production of labels, in which case we will bill to the customer the total amount produced.
• Order cancellations are accepted only if they are made in a period not exceeding seven days, in case of new orders, with a penalty of 20% of the order value plus the cost of designs and prints. For replenishment orders, cancellations will be accepted only within 72 hours of the order placement, causing a charge of 25% of the order value. After the deadlines specified herein orders can not be canceled and the customer should pay 100% of their value.
• For orders that require die cutting and/or new tooling the following criteria will be applied:
  All die cutting and/or new tooling will be charged to the customer, with the exception of those in which the initial order, as well as the monthly consumption, is greater than $ 3,000.00 dollars, in that case, Etisign S.A. de C.V. will absorb 100% of the cost, provided that there is a consumer contract signed by the client. 2. In all cases, Etisign S.A. de C.V. will own the die cutting and/or tooling and will be responsible for the repair or reposition thereof.  The charges that for this concept are made to the client should be covered on advance.
• Etisign S.A. de C.V. grants a warranty of 90 days against defects in materials and/or manufacture, provided that the labels are not exposed to excessive heat or humidity, or are used incorrectly. This warranty is exclusively for product replacement.

 

1. DISCOUNT ON EARLY PAYMENTS

• Order cancellations to be accepted as follows; if made in a period not exceeding 72 hours will have a charge of 10% of the order value, if made after 72 hours but within seven days, the charge will be 20% on order value; after seven days orders can not be canceled and customer will pay 100% of their value.
• With the exception that Etisign S.A. de C.V. issues a written specific warranty, the customer will have the same warranties offered by the manufacturers of the products sold by Etisign S.A. de C.V., both in conditions and terms. This warranty is exclusively for product replacement.
• The above conditions could be modified by Etisign S.A. de C.V at any time, in which will notify the customer with due anticipation. By signing as accepted the consumer contract or order, placing a purchase order and/or accepting Etisign S.A. de C.V. bills, the client accepts the conditions specified.

 

Privacy Notice

Etisgn S.A. de C.V., with address in Ave. Churubusco 1600 B-18, Col. Francisco I. Madero, Monterrey, Nuevo Léon, Mexico, (hereafter identified as “Etisign” or “we”) is responsible for processing your personal data.

In compliance and in accordance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) (hereinafter the “Law”), and its Regulations, informs you that this present “Privacy Notice” will apply to all products, services, programs, technology tools and/or web sites, etc., that Etisign provides to its personnel and customers and suppliers, with the understanding that Etisign protects and safeguards gathered personal data to avoid its damage, loss, destruction, theft, misdirection, alteration, and unauthorized treatment of them, and likewise communicates that the processing of personal data of third parties that you provide will be done in accordance with the terms and conditions contained in this Privacy Notice.

Etisign may publish specific Privacy Notices and which may or may not require the express consent of the Personal Data owner.  However, it is understood that the acceptance of this Privacy Notice involves a written acceptance of the terms thereof.

For what purpose we collect and use your personal data?
Your personal data will be used for the following purposes:

• For identification.
• To provide products and services required by you.
• To send notifications, notices, advertising or publicity about our products or services to the extent permitted by the applicable legislation.
• Creating databases (including bases on sensitive data) for statistic purposes.
• Send notices of changes to this Privacy Notice.
• Comply with laws or regulations applicable to the business and Etisign operations in the United Mexican States.  In the recollection and processing of personal data you provide to us, we meet all the principles stipulated by Law and its Regulations:   Legality, Quality, Consent; Information, Purpose; Loyalty, Proportionality and Liability.

What security and control measures do we use to protect your personal data?
Etisign has implemented measures of administrative, technical and physical security to protect your personal data, the same that we require to be met by service suppliers that we hire.  Etisign may retain your personal data in databases located in the United Mexican States or abroad without any limitation.

With whom we share your personal data?
We may share all or part of your Personal Data with any of the companies and plants of Etisign Mexico, and other related abroad; as well as authorized entities under Mexican law for the implementation of activities and operations; in addition to employees, customers, contractors and service providers, who may or may not treat your Personal Data on behalf of Etisign in accordance with the Purposes and Uses intended in this Privacy Notice.
Also, Etisign reserves the right to share your Personal Data with administrative, judicial or governmental authorities, of any kind, whether in the United Mexican States or abroad, in case they are required.  Etisign may transfer your Personal Data to any of its companies or plants.  Except those cases, Etisign won’t share or transfer your Personal Data to third parties, except in cases expected by the Federal Law on Protection of Personal Data Held by Private Parties or any other applicable law or regulation.

Your Right to Access, Rectification, Cancellation, and Opposition (“ARCO”).
As holder of your Personal Data, you may exert any of your rights resulting from your Personal Data, of this Privacy Notice or applicable Law, may exert, without limitation, rights of access, rectification, cancellation and/or opposition (ARCO Rights) or revoke your consent by sending an email to our Privacy Department to the following address:  politicas@etisign.com This e-mail address is being protected from spam bots.  You need to enable JavaScript to view it, or directly in the areas of Human Resources and/or Sales Customer Service on your local Etisign plants in Mexico.
In accordance with the applicable law, any request to exercise such rights shall include:

1. Its full name and address (essential requirement to respond); II. A copy of your official identification (passport, voter registration card or driver’s license); III. The clear and precise description of the Personal Data you want to access or modify, cancel or oppose and any other element facilitating the location of your data; as well as   IV. Any other requirement established by Federal Law on Protection of Personal Data Held by Private Parties and/or other applicable provisions.

From the date of receipt of the application, the Department of Data Privacy of Etisign, has a period of 20 working days to respond to your request; however, this period may be extended by an equal period of time, which will be notified, by any means you have indicated to us for that purpose, stating the reasons for such extension, in accordance with Article 32 of the Law.  We also inform you that in terms of the Law of Regulations, effective January 1, 2013, you can start the procedure of ARCO Rights Protection at the Federal Institute of Access to Information and Personal Data Protection (IFAI) within 15 days of the date on which Etisign responds to your request and it is not satisfactory, or after the period of specified time Etisign not followed to respond to your application.

Changes to Privacy Notice.
We reserve the right to change this Privacy Notice at any time.  If there is any change in this Privacy Notice, it will make your knowledge by sending an email to the account you have registered and/or by posting the same in the Etisign website http://www.etisign.com/politicasyaviso.htm

Etisign, as well as its subsidiaries and affiliates, shall not be liable in the event that you do not receive such notification of changes to the Privacy Notice if any problems exist  with your email account or transmitting data over the Internet.  However, for your safety, the current Privacy Notice will be available at all times on the website mentioned in the previous point.

The holder of the Personal Data manifests to have read and agree to the terms and conditions of the Privacy Notice made available, knowing the purpose of the collection and processing of its personal data; as well as the procedure for the exercise of its ARCO Rights.
